Here is a sample of Bill Kwolek’s standard client agreement which outlines the Terms and Conditions for hiring Bill as a designer:
Mechanical Design for [detailed project description]
The fee for the project, including [list of specific services], is $xxxx.
DETAILS ABOUT FEES
PROJECTS BASED ON A FIRM BID:
Bill typically requires 25% of the project fee up front, 25% at the midpoint, 40% when the design is complete, and 10% when the hardware is fabricated and delivered, and the revisions are complete.
PROJECTS BASED ON AN HOURLY RATE:
Bill invoices on a weekly basis. The invoice will be the sum of hours worked, multiplied by the hourly rate.
Actual costs related to travel in excess of 100 miles round-trip, will be added to the invoice. Other costs associated with the project, approved by you, and borne by Bill will be added to the invoice. Receipts or logs will be provided and included with the mailed invoice.
DISCOUNT FOR PROMPT PAYMENT:
Bill applies a 1.5% discount for payment with checks dated and mailed within ten days of his invoice date. Invoices will be sent via e-mail or fax and confirmed with hard copy mailed through the USPS.
Fees are payable to William S. Kwolek. Mail checks to 503 City Rd., Manchester, MI 48158
Revisions related to choosing the final design and modifications required for manufacturing the prototype are included at no extra charge unless they result from a change in the project description.
Revisions based on a change in the project description will be negotiated.
Bill does not miss deadlines or milestones. If you change the project description or require different services than originally agreed to, your deadline and his fee may require change – up or down. Bill makes every possible accommodation to meet commitments and satisfy your needs.
If you cancel or put the project on hold, once Bill has begun work, a kill fee may be applied. This fee will be based on the amount of work Bill has completed at the time you cancel or hold.
Background informational material provided to Bill Kwolek in preparation for assignments is not returned unless specific arrangements have been made in writing prior to the project. Components and fabrications will be returned.
Bill makes every effort to make your project comply with the law and applicable regulations. It is your responsibility to provide to Bill with all specifications and regulations that apply to the design. If legal review is appropriate, this is your responsibility. Bill will assist you in testing or certifying a device at a third-party lab, but the responsibility is yours.
There are many factors that determine the success of your project, component quality, marketing, pricing, demand, engineering preferences, customer or sponsor acceptance, major events – that Bill cannot control.
Therefore, while he can and does guarantee your satisfaction with his design, he does not promise and cannot guarantee specific results beyond the mechanical package.
POST PROJECT CHANGES
Many clients like to “fine tune” the device after manufacturing begins. This fine-tuning is not included in the project fee. If you want Bill to be available to tweak and refine your device once it is up and running, a separate arrangement can be negotiated.
